Our Adviser's ESG principles serve to answer the question

What do we believe?*

1

Responsible corporate behavior will have a positive influence on long-term financial performance.

2

Our shareholders are focused on the externalities of our Adviser's investment decisions and would like to meet their investment goals while simultaneously improving the world in which we live.

3

Our Adviser considers ESG factors, including consulting the Sustainability Accounting Standards Board's Engagement Guide, not just in the upfront due diligence process but rather over the full life cycle of an investment from diligence, to ongoing portfolio management and construction, and exit.

4

We will encourage transparency and constructive dissent within our investment process to uphold a socially responsible investment framework.

5

We believe it is important to align with partners who incorporate a proactive ESG strategy in their investments, as well as to offer support to our portfolio companies regarding responsible management practices, and to provide appropriate disclosure to our stakeholders.

6

We appreciate that ESG topics continue to evolve and will work together as a firm to refine our ESG framework and enhance our effectiveness over time.

A COMMITMENT TO CORPORATE GOVERNANCE

While we are managed by our Adviser on a day to day basis, overall responsibility for our oversight rests with our Board of Directors. Our Board is responsible for overseeing our Adviser and our other service providers in accordance with the provisions of the 1940 Act, applicable provisions of state and other laws and our charter. Our Board is currently composed of eight members, five of whom are directors who are not “interested persons” of the Company or the Adviser as defined in the 1940 Act. Additional information about our directors may be found here.

Our Board has established an Audit Committee, a Nominating and Corporate Governance Committee and a Compensation Committee, and may form additional committees in the future. Each committee is comprised solely of independent directors and the charters of the Audit, Nominating and Corporate Governance, and Compensation Committees can be found here.

We have adopted a Code of Business Conduct which applies to our executive officers, including our principal executive officer and principal financial officer, as well as every officer, director and employee. Our Code of Business Conduct can be found here.

Our Board has also adopted Corporate Governance Guidelines which can be found here.

A COMMITMENT TO THE COMMUNITY

We and our Adviser are also committed to our community. Some of our recent initiatives can be found here:

A COMMITMENT TO DIVERSITY & INCLUSION

We and our Adviser prioritize recruiting and retaining a diverse group of professionals. We believe a team comprised of individuals with diverse backgrounds, experiences, perspectives and insights is a more effective team. As our firm has grown, our diversity and inclusion programming has expanded in scope and participation to include employees in all departments and at all levels.
